As an important force of non - governmental investment, private equity fund plays an active and irreplace- able role in the whole capital market even national economy in China. It＇ s of important meaning to establish and perfect China＇s capital market to develop private equity. Private equity fund in China is still in its infancy, and there is a rather great gap compared with the developed countries in either funds scale or legislation. Making in - depth research organizational forms of private equity fund, being well aware of the merits and characteristics of part- nership organization will contribute to the development of multiple organizational forms of private equity fund.
