试论我国一人公司制度

Remarks on the One-People Company System of China

随着市场经济的不断发展,出现了一人公司这一特殊的公司形式。我国公司法也明确承认了一人公司的合法地位,但相关规定还很不完善。本文从一人公司制度构建的理论基础出发,介绍了我国公司法对一人公司的规制及法理分析,最后着重介绍了我国有关一人公司的立法现状,并结合世界主要国家的立法经验,对如何完善一人公司制度提出了几点法律思考。

With the continuous development of market economy, there appears a particular form of company- one -people company. The Company Law of People＇s Republic of China has also definitely set the legal status of the One - People Company, but there is still a shortage of perfection of relative rules. The article, in which the legal explanation and the rules about One - People Company in the Company Law of China have been intro- duced, is established on the theoretical foundation of the construction of One- People Company, and the emphasis falls on the introduction of the present situation of China＇s legislation of One - People Company. Then combining with the illustration of the legislation experiences of the main countries in the world, several points of legal consideration about how to consummate the One - People Company System are put forward at the end of the article.
