摘要
本文针对张维迎著的《企业理论与中国企业改革》一书进行简评，对中国企业改革的理论和实践进行了回顾，特别是对国有企业股权改革、公司治理改革以及所有权制改革进行了详细的阐述，明晰了企业家、股东满意利润、企业家不可能定理、企业最终控制权等概念。从国有企业的资本结构、产权制度。
In this paper, the author comments on ＂Enterprise Theories and Reform of China＇ s Enterprise＂ of Zhang Weiying and reviews the theories and practice of reform of China＇ s enterprise. Especially, stock ownership reform of state-owned enterprise, company management reform, and ownership reform are expounded. The author also clarifies some concepts about enterpriser, stockholder＇ s satisfaction profit, impossibility theorem of enterpriser, and final control ownership of enterprise. Finally, the ideas and countermeasures on reform of state-owned enterprise are put forward from three sides： capital Structure, property right systems and company management.
