一人公司社会责任的正当性分析及其实现路径

On the Justification of One-Man Company's Social Responsibility and Its Approach

文章认为,公司社会责任是公司在谋求股东利益最大化的同时所承担的维护及增进社会利益的义务,更具体而言是指满足利益相关者合理需求的义务。从价值平衡的角度以及风险应对的角度,一人公司承担社会责任均具有正当性,而作为承担社会责任的必然要求,在法律层面上一人公司至少应当做到资本充实、信息公开和人格独立。

Corporate social responsibility is the obligation for corporations to maintaining and enhancing the social commonweal besides its duty to pursuit profit-maximum for shareholders, or specifically for meeting the requirement of interested parties. The justification of one-man company＇s social responsibility can be proved from the perspective of the value of balance and the risk management. As an inevitable requirement of social responsibility, one-man company should make the capital adequacy, public its information and ensure the corporate personality independence.
