摘要
传统公司法理论严格限制董事利用公司机会,这阻碍了商业机会价值的充分发挥。而事实上,在公平的前提下,有限公司董事可与公司协商利用属于后者的商业机会,这一点可以从几个方面来理解:传统理论在一定程度上忽略了有限公司和股份公司的区别,有限公司的特质为董事利用公司机会提供了法律基础;董事利用公司机会可以视为利益分配的一种方式,董事与公司的利益关系可以得到有效协调;此外,董事对公司机会的合理利用可以得到有效的实证支持。
The restriction on the director to use company's business opportunities in traditional theory undermines the exploitation of the business opportunities. Being subjected to impartial treatment of the company, the director actually can negotiate with their company on that issue. This points of view can be supported by the following aspects: the traditional theory ignores the differences between the limited liability company and stock-shared limited compa- ny; the former has unique characteristics which is the legal basis for the director's behavior; the exploitation of corn pany's business opportunities by the director could be regarded as another way to distribute the profits; the interests between the company and the director can be coordinated effectively; the director's behavior also can be supported forcefully by the practices.
