摘要
商号转让的合法性已得到各国商法理论和商事立法的普遍肯定,但对于应如何转让,各国规定有所不同,一般都作出限制性的规定。由于我国现行法律对商号权保护制度的缺失,在商号转让过程中很容易发生纠纷。本文围绕现代各国对商号转让所采用的两种立法模式,分别对两种立法模式下商号转让过程中出现的主要法律问题进行探讨,并提出对商号单独转让和与营业一并转让中出现的问题进行法律规制,构建我国商号权保护法律体系。
The legality of the transfer of commercial titles has been recognized in the commercial law circles and commercial legislation. However, due to a default of the protective system for commercial titles in China, conflicts tend to occur in the transfer of commercial titles. This paper studies two legislative models and their related legal issues, proposing that legal constraints be set on individual transfer and the combined transfer of commercial titles and operations.
