从适用场合论我国公司法人格否认立法之完善

公司独立人格与股东有限责任是公司法最为核心的理念,并使得现代公司的投资者的风险得以控制在自己可承受的范围之内,激发了人们的投资热情,进而对人类商业文明的发展,社会财富的积累起到了巨大的推进作用。然而,公司有限责任制度是一把双刃剑,它既可以充当锐意进取者的保护伞,也可以成为巧取豪夺者的护身符。为了防止股东滥用公司独立的法人人格,以及保护债权人的合法权益,我国公司法对公司法人格否认的适用进行了规定,但是此项规定却过于抽象,不够完整,本文从公司法人格否认之适用的场合来谈谈如何完善我国这方面的立法。

Independent personality of the company and the limited liabilities of shareholder are the central principles of the company law , and it makes the risk of the investor of the modem company bearable . For the reasons mentioned above , the people~ investment enthusiasm was stired up, then the development of the business civilization and the society＇s wealth were accumulated. However, the system of company limited liability is a blades sword, it is advantageous not only to legal investor but also to illegal investor. Our country has established some provisions for disregard of company legal person personality in order to prevent it from being abused and to protect the legal rights of the creditor. But these provisions are not enough detailed and integrity, this text will try to make our country＇s company law Perfectable.
