On the Essence of Corporation——From the Perspective of Legal Concept

法人的叙述最早出现于罗马法,在德国民法典中有了系统的表述。关于法人本质的争论到今天为止仍是民法学说争论的焦点,由于对法律现象的本质属性有不同的认识,从而形成了法人拟制说和实在说这两种不同的法律概念,在此讨论的意义则是进一步追求思维方式的转变。

The narration of corporation first appeared in Roman law, and its systematic expression appeared in German civil law. The deate over the essence of corporation ＇has been the focus of civil law so far. Different understandings about the essence of corporation have formed two different legal concepts ： the fictional theory and the realist theory about corporation. The aim of this paper is to pursue the change of thinking mode.
