浅议上市公司监事会制度的完善——基于江西省16家上市公司监事会现状的分析

On the Perfection of Supervisory Committee Regulations of Listed Companies

作为公司法人治理结构的重要制度之一,公司监事会制度是分权制衡、降低代理成本的必然选择。通过对江西省16家上市公司年报中的监事会报告的整理,发现上市公司监事会存在职工监事人员少、职权履行不力等问题。应采取调整成员结构,建立激励机制,满足利益相关者的需求等措施来完善监事会制度,进一步发挥其治理功效。

As one part of the corporate - governance regulations, supervisory committee regulations appor because of the demand of reducing agency cost and balancing power. From 16 annual reports of listed companies in Jiangxi Province, we found that some serious problems exist in supervisory committees. In order to improve the functions of it, it is necessary to adjust the membership structure, establish inspiring system, etc.
