Reshaping the Model of Corporate Governance on the Basis of Social Responsibility

从公司治理模式与公司社会责任关系的角度出发,阐述了公司社会责任的内涵及其理论依据,分析了重塑公司治理模式对公司承担社会责任的重大意义。针对传统的公司治理模式存在的不足,介绍了国外体现社会责任的公司治理模式,并结合我国现状,提出了通过重塑我国公司治理模式以促使公司有效地承担其社会责任的建议。

With the establishment of society- oriented thought, the theory of corporate social responsibility has already been accepted by all circles. It is urgent for our country to set up the mechanism to achieve this goal. Therefore, this paper, in respect to the model of corporate governance and social responsibility, addresses the connotation and theoretical justifications, ard points out the significance of reshaping the model of corporate governance. In addition, taking the shortcomings of traditional model into consideration, as well as reference to foreign experiences, it also suggests that reshaping the model of corporate governance can efficiently facilitate the companies to undertake their duties.
