土地承包经营权公司出资制度研究

The study of the farmland usufruct law

土地承包经营权是农民重要的生产性财产权益,在我国物权法中定位于用益物权,是一种财产权。一般来说,纯粹的财产性权益均可以用以出资,以促进物尽其用,增加社会财富。本文从我国土地承包经营权作为公司出资手段之必要性入手,分析了土地承包经营权的性质以及应然性,旨在还土地承包经营权应有的用益物权,增强其流动性,使之成为可为公司投资的财产。针对可能出现的公司经营失败的风险,应进一步完善我国的社会保障制度,为土地承包经营权出资解决后顾之忧。另外,在对公司和合作社的不同目的进行分析的同时,提出了仅有合作社并不能使土地承包经营权充分发挥其财产性能的观点。

The farmland usufruct is the peasants＇ important property right.It is a kind of estate usufruct in our law.In common sense, pure property right can be a means of the corporation investment in order that the property would be completely used and the so- ciety ~ortune would be increased.This paper discusses the necessities of the farmland usufruct investment and analyzes the nature of the farmland usufruct.On the ground the writer believes that the farmland usufruct should be exchanged broadly,se it can be an investment to the corporation.As for the possibility of investment failure,our social insurance system should be improved,which can make our civil society better.Furthermore,the comparison of the corporation purposes with the cooperative purpose makes it clear that only the cooperative existence can＇t maximize the farmland usufruct-a kind of property right.
