摘要
中国国有能源公司源于政府的能源部门。经历了几十年的改革之后,中国国有能源公司在法人治理结构上初步实现了与国际惯例接轨。然而,中国国有能源公司仍然存在"内部人控制"现象明显、独立董事制度尚未建立、政府职能"缺位"和"越位"问题严重、以及公司的外部环境有待改善等诸多缺陷。市场化取向是中国国有能源公司治理结构改革的方向。今后中国国有能源公司治理结构的改革,应侧重理顺政府、企业和市场的关系,打破行业垄断、引入竞争机制等。
China's state -owned energy companies originated from its governmental energy sector. After several decades of reforms, China's state - owned energy companies initially realized the connection with international practice in structure of corporate governance. However, there still exist many defects, such as obvious phenomenon of "inter- nal control ", independent director system not established, serious problem of " absence" and " offside" of government's functions, necessary improvement of company's external environment to be made, and so on. Market - orientation is the direction that China's state - owned energy companies should take in reform of corporate governance structure. China's state- owned energy companies should focus on rationalizing the relation among the government, enterprises and market, breaking through industrial monopoly, leading into competitive mechanism, etc, in reform of corporate governance.
