韩国公司法修改试案与中国公司法之比较——以股份公司治理结构为中心的考察

中国近年来对公司治理的研究主要是针对欧美国家,对同是大陆法系的近邻韩国的研究则不多见。2006年韩国公司法修改试案的颁布是一次对公司治理结构的极大完善,引入了非董事的高级管理人员制度、扩大董事的义务、股东大会运营的IT化等,这些值得中国学习和借鉴。

China＇s researches of company management have focused more on the situations in Europe and America than on that in Korea. The promulgation of Draft of the Revised Korea Companies Ordinance 2006 has efficiently perfected the structure of company management by employing senior managers who are not the member of the board, increasing directors＇ involvements, applying IT to the operation of shareholders＇ meeting. All these measures are worth China learning.
