本文以公司法为视角，从法域、基本原则、法律关系制度、法律适用等层面分析了商法与民法的关系，肯定商法是民法特别法的同时，强调了商法的独立性。

In the perspective of corporate law,this article analyses the relations between commercial law and civil law in the aspects of legal range,basic principles,the system of legal relations and law application.It affirms that commercial law is the special law of civil law,and emphasizes the independence of commercial law.
