公司外部治理机制研究--对我国激活公司外部治理机制的启示被引量：3

摘要公司外部治理是指来自公司外部的监督,即来自"公司控制权交易市场"的监督,其目的是为了防止企业管理者在执行公司职务时滥用其权力。本文在总结现有的实证研究后发现,公司外部治理可以让目标公司的股东从中获益,但这种方式对公司的治理效果却受制于不同国家的股权分散状况。我国目前股权分置改革已完成,但对其激活公司外部治理机制的效果还不能抱过高的期望,因为"一股独大"的格局不一定能因此而被打破。逐步、有序的投资渠道多样化,或许能为打破"一股独大"现象提供相对可行的解决方案。
