公司中小股东权益保护法律问题探析

公司大股东通过操纵利润分配、利用资本多数决定原则以及关联交易侵害中小股东权益,还利用其拥有的合法权力操纵股东会,侵犯中小股东的知情权等,使中小股东的权益得不到有效保护。分析认为其原因在于控股股东与中小股东之间存在严重的信息不对称,中小股东的表决权处于劣势地位,其呼声和要求常常被忽略,国家对公司行为及大股东行为缺乏有效的监督。提出应加强中小股东知情权的保护,设立累积投票制,遏制控股股东行为,中小股东应积极行使股东诉权等措施,保护中小股东的权益。
