论我国独立董事制度的完善

Discussion on the Perfection of Our Country's Independent Director System

独立董事制度产生于20世纪70年代的美国。实践证明独立董事制度已经成为公司治理结构中的重要组成部分,并且发挥着不可替代的作用,该制度是避免内部人控制、保护中小股东利益的有效手段。我国于20世纪90年代开始逐步引入独立董事制度,由于其实行的时间短,无论在立法上还是实践上都有诸多问题有待解决。通过对独立董事制度在我国的现状和形成原因的分析,在借鉴相关研究成果的基础上,提出了完善我国独立董事制度的几点建议。

The independent director system generated in America in 70s of 20th century. The practice proves that the independent director system has become an important component in the corporate governance structure, and plays an irreplaceable role. The system is an effective means for avoiding the insider control and protecting the interest of the medium and small shareholders. Our country has begun to introduce the independent director system gradually in 90s of 20th century. Because the time of implementing the independent director system is short, many problems need to be solved ether in legislation or in practice. Through analyzing the present situation of the independent director system in our country and the reasons why such situation forms, and based on related research achievements, this paper puts forward several suggestions on perfecting our country＇ s independent director system in our country.
