本文以资产证券化的基本法律构架为研究基点,分析了信托型资产证券化中的各主体之间的法律关系,认为法院在对"真实出售"进行司法审查时,应当适用实质主义标准,金融债权在整体信托转让时应当符合信托公告的相关规定,以鼓励金融创新、防范金融风险。

Based on the Study of Asset-based Securitization, this dissertation is intended to explore the legal relations between subjects. When we study the judicial review of ＂True Sale＂, the Essential Standard should be adopted. When the whole financial creditor＇s right is transferred, the notice regulation of trust law should be observed. The key issue is to encourage financial innovation and to guard against financial risks.
