Abstract Since the mid 1980s, in China's rural towns there has appeared a trend toward enterprises' transformation of various forms into the form of “COOPERATIVE-JOINT-STOCK- SYSTEM”(CJSS), a trend set from different directions. One direction is the course from the form of individual enterprises to that of CJSS, a trend set by Wenzhou ; the other is the course from the form of collective enterprises , also called community cooperative enterprises , to CJSS, a trend represented by the Zhou Village form. What is called CJSS refers to a form in which, of all the assets belonging to an enterprise, at least one part do not correspond to the assets belonging to specific persons or legal persons who have the share ownership ; and the remaining part may do so. This form can be set up either by way of a a contract jointly signed by individuals or legal persons whose equity can be unequivocally defined or marked, or by a way in which the collective or community (whose members' equity line has not been drawn) make part of the equity be legallyowned by individuals or legal persons. What this article will discuss is the latter process, i.e. the process of shape of theZhou-Village-type model “ cooperativization ” of joint stock, or specifically speaking, the process of transformation of rural township collective enterprises system into CJSS.
