论我国公司与经营者之间的法律关系

On the Legal Relation between China′s Company and its Manager

改革开放以来,我国公司立法对公司经营者的权利、义务与责任作了较系统的规定,但未明确规定公司与经营者之间的法律关系,故引发多种问题。本文在简要回顾了改革开放以来公司立法以及所规定的公司经营者的权利义务与责任的主要内涵的基础上,探讨了二者之间法律关系之法理基础,并提出了确立二者法律关系的立法建议。

China′s company legislation provides manager′s rights and obligations systematically after reforming and opining,but does not provide the legal relation between company and its manager clearly,which leads to many problems.This article reviews briefly the main connotation of company legislation and manager′s rights and obligations firstly,secondly,discuses the jurisprudent base of the relation between both of them,at last,puts forward the legislative advice for establishing the relation between both of them.
