An Analytical Study of Confirmation Contract System in Anglo-American Contract Law

英美法上通常认为,非违约方确认一方当事人违约后,若其选择继续履行,则非违约方确认了合同。确认合同行为是一种自愿的行为,必须以作为的方式明确地作出。选择确认合同意味着合同双方所有的义务都仍然存在,非违约方选择确认合同之后,在合同期限届满之前这段时间内需承担一些风险,而选择确认合同的权利常常受到一些限制。该项制度对完善我国违约制度的立法具有借鉴意义。

In Anglo-American law, after the non--defaulting party confirms a party＇s contract breach, if she/he chooses to continue to carry out it, usually the non-defaulting party confirms the contract. Behavior of affirming a contract is a voluntary act, as a way must be made clear by action. Choosing affirmation of contract means that all obligations of two parties of the contract still exist, non-defaulting party demands to assume some risks before the expiration if he/she chooses the affirmation of contract, and selecting the right of affirmation contract usually subjects to some restrictions. The affirmation of contract can be used for reference to improve the legislation of our contract breach system.
