私法视域下商事登记的重新解读

随着我国商事登记立法进程步入正轨,如何转变传统的公权主导登记之思维定势,而在私法框架下对商事登记的内涵进行重新理性的定位,无疑是当前立法者所关切的主核命题。从天赋人权的基本理念出发,以行商权的柔性关怀为视角,遵循商事登记行为的私法本质,探讨私人意思自治主导下对商主体身份确认、信息公示之登记功能内涵,以及登记机关提供辅助性程序的角色定位。如此回归私法自治的应然性界定,方可为我国商事登记制度的改革指明正路。

Following the legislation process of commercial registration, how to change the tradltional notion of dominant public power and reset commercial registration system under the private law reasonably is one of crucial issues for lawmakers. Therefore, from the basic philosophy of natural rights and private autonomy, the paper tends to confer the function of confirming the capability and information publicity, moreover, the assistant role of registration office so as to guide the reform considerably.
