摘要
众多的中国企业在借鉴实施股权激励的过程中出现了水土不服的问题,起不到应有的作用。创新性地运用资源基础观理论从持续竞争优势和超额利润的来源及维持的角度分析并得出结论,认为股权激励的实施对象应当不限于企业的高管;用于激励的股权数量必须以股权激励的受惠对象所创造的超额利润占总利润的份额为基础;股权持有者只有在企业业绩达到目标或服务达到一定期限时才能出售自己的股权。
During the process of implementing employee stock ownership, many Chinese firms have not fitted. They cannot implement it as well as foreign enterprises. The author innovatively used the resourcebased view of strategic management theory to analyze the employee stock ownership and drew a conclusion from the perspective of acquiring sustainable competitive to the conclusion of this paper, the ownership shouldn't advantage and maintaining excess profits. According be limited to business executives; the stock shares used to implement the incentive program must be based on the quantity of the excess profits created by the beneficiaries relative to the total profits; the beneficiaries can sell their stock shares only if the enterprise realizes its performance goals or their service times are up to scratch.
