摘要
通过对人力资本的监控来实现非人力资本的利润,是侵权和无视人力资本所有者的产权的行为。通过公司治理来规范内部人控制的正当途径是重塑两种产权主体并规范整个谈判过程。
It is proposed that acquiring nonhuman capitals benefit by supervising labor is an act which violates and ignores the human capital owners property rights to achieve the nonhuman capitals benefit. The rational approach for regulating insider control by corporate governance is to rebuild the two property rights entities and to regulate the whole process of negotiation.
