Because of the difference of politics,economy,laws,culture among countries,venture capital shows different situation and characteristics in itself development processes. Based on the comparison between the United States and Germany in the aspects of the source of venture capital, model of organization,the mechanism of withdrawal and policy environment,the paper draws the enlightenment to promote China＇s venture capital industry development.
