摘要
战略联盟在迅速发展的同时也面临着高失败率的挑战,因此构建能够有效地应对伙伴机会主义风险的联盟治理机制至关重要。法律契约条款、专用资产投资、联盟治理结构、声誉体系和信任都可以作为控制联盟伙伴的治理机制。除此之外,联盟治理也可以依赖基于社会关系规范的非正式治理机制,即信任和声誉,它们不仅可以作为有效的进化选择机制避免资产专用性中的机会主义行为,还可以降低层级化治理结构的官僚成本。
With their swift development, strategic alliances are challenged by high failure rate. Therefore, it is critical to estabhsh alliances governance mechanism which can effectively deal with the risk of opportunism. In this paper, the authors first discuss the emergence of opportunism in alliances, as well as its formal governance mechanism. Then the authors analyze the informal governance mechanism based on trust and reputation, and place emphases on the function, applicability, and limitation of reputation. Finally, we analyze the adaptability of trust and reputation in consideration of Chinese culture, and propose the direction for future research.
