摘要
本文从当前国有企业股份改造中存在的问题出发，提出解决“政企不分、政资不分”和“内部人控制”等问题的关键在于构建有效率的法人治理结构。只有将企业股本结构的优化作为改制的重点，才能推动有效率的法人治理结构的形成，摆脱行政过度干预与“内部人控制”并存在的困境。
