试析我国股东网络投票制度的完善

Probing the Perfection of Shareholders' Network Voting System in Our Country

在世界网络信息技术高度发展的背景下,许多国家纷纷开始推行上市公司股东网络投票表决制度,以期能够降低股东表决权行使的委托——代理成本,克服小股东对于投票权的"理性冷漠",一定程度上制衡大股东对公司的操控,进而完善上市公司股东大会表决机制。在我国,该制度尚处于初步发展阶段,且不完善,需要实践探索和理论总结。

Under the background of world internet information technology developped highly,many countries have started to carry out shareholders＇ network voting system,to reduce the cost of the request——proxy for the shareholders using their voting right,to overcome ＂the rational indifference＂ of the small shareholders＇ view to the voting right,to balance the major stockholders＇ control to company in some extent,and then to perfect the voting mechanism of the general meeting of shareholders.In our country,this system is still at the preliminary developping phase and is imperfect,which needs the exploration in practice and the summary in theory.
