大股东治理与控制权私人收益研究

Research on the Major Shareholder Governance and Private Benefits of Control

大股东治理是公司治理的重要方面,近年来众多学者对大股东治理进行了多方面的研究。本文以控制权私人收益为切入点,对大股东治理和控制权私人收益的影响因素进行了分析。研究发现:我国大股东获得的控制权私人收益在逐年减小。建议应完善大股东治理机制,降低控制权私人收益水平。

Major shareholder governance is an important aspect of corporate governance,In recent years,scholars have done a wide range of research on the major shareholders governance.In this study,I analyzed the major shareholder governance and the factors that inflence private benefits of control with the point of private benefits of control.My study showthat China's private benefits of control that major shareholder got is 0.0408,and it decreased year by year.Finally,I made recommendations on howto improve the governance mechanisms and reduce the level of private benefits fromcontrol.
