有限责任公司股权遗赠的法律制度——兼探《公司法》第76条之规定

我国公司法第七十六之规定,明确了股权继承的法律效力,是立法的一大进步,但是,该法条也存在概念界定不清,标准不严密的缺陷,针对上述问题,通过对比两大法系相应内容,力图寻找突破点,为完善该法规提供借鉴意见。

The provisions of the article 76 of China＇ s cooperation law explicitly identify the ownership of a share inherit of legal effect. It is a big progress in legislation. But the law does not clearly define the basic concept and has defect in the standards. Aimed at the problem mentioned above, the author compared the corresponding contents of the Two Schools, trying to find a breakthrough and provide the opinion for perfecting the law.
