境外矿业并购风险分析

Risk analysis of overseas mining merger and acquisition

我国矿业企业在金融危机的大背景下,通过各种方式积极"走出去",其中参与境外并购是当前的主要手段。由于不同国家和地区之间存在政治、民族文化和资源信息等各种不测因素,使境外并购面临更多更大的风险。本文综合了境外并购的现状和特点,侧重分析了政治风险等五种并购风险,并就防范应对风险提出了五个方面的对策建议。

Under the background of financial crisis, mining enterprises of our country ＂go out＂ through several ways positively, and taking part in overseas merger and acquisition is the main way now. Because there are many unpredicted factors on politics, national culture and resource information between different countries and areas, overseas merger and acquisition of enterprises will encounter more and larger risks. This paper integrates the situation and characteristics of overseas mining merger and acquisition, analyzes five risks such as political risk etc, and offers five suggestions on avoiding those risks.
