摘要
分析了法律对证券欺诈行为的规制不足之处,进而具体提出了在证券诉讼中取消行政前置程序,引进集团诉讼制度,建立信息披露制度、完善民事责任和民事赔偿制度等建议,以更好地维护证券市场的稳定和发展。
The deficiency of legal rules and regulations on negotiable securities fraudulent practice was analyzed.In order to maintain the stability and development of the securities market,some suggestions were put forward,such as： canceling the administrative pretage procedure in the negotiable securities lawsuit,introducing into the class action system,establishing an information disclosure system,and improving the civil liability and civil compensation system,etc.
