摘要
根据劳动关系的从属性标志、法定代表人在公司中的地位以及其与公司和投资者的利益关系,制定法定代表人应当归属于用人单位而不归属于劳动者。因而,对于法定代表人薪酬争议,应当定性为委托经营关系中的经营薪酬债权争议,适用民商法处理。我国劳动立法应当对劳动关系、劳动者、用人单位、雇主代表等概念进行界定,并对包括法定代表人在内的雇主代表在劳动者与用人单位之间的归属关系作出明确规定。
In accordance with the subordinate nature of labor relationship, the status of legal representative in a company, legal representative should be labeled as employer not as employee of the company. Therefore the legal nature of the salary dispute of legal representative should be determined as the debt dispute on management reward. In labor legislation the concept of labor relation, employee, employer, representatives of employer and the nature of relationship between employer and its representatives should be clearly defined.
