摘要
在市场经济条件下,中央企业建立规范的现代企业制度具有非常重要的现实意义,而建立规范的法人治理结构是建立现代企业制度最核心的内容。由于制度性、观念性、人为性等原因,致使许多中央企业的法人治理结构存在董事会经理层职权不清、董事会作用遭到弱化、党委如何体现政治核心作用等问题。通过分析中央企业法人治理结构的现状,立足国情,针对中央企业法人治理结构的特殊性,中央企业法人治理应选择由外部董事担任公司董事长,总经理担任董事、法定代表人,党委书记担任董事的模式。
Under the condition of market economy, it is very crucial for China's central enterprises to establish the modern enterprise system normally, the core of which is to set up the governance structure. Because of certain factors like regulation, conception and man-made interference, various problems can be found in the corporate governance structure of central enterprises. For example, the authority of the executives under the board is not well defined, and the function of the board is weakened. Additionally the Party committee is confronted with the challenge of how to play a political core role in the enterprises. Analyzing the the present situation of China and the status quo of the corpo- rate governance structure of China's central enterprises, the paper is of the opinion that the corporate governance should take the model in which the outside director holds a post of the president of the board, the general manager takes roles of the director and legal person, and the Party secretary assumes the office as the director.
