摘要
在现代企业中,经理层处于经营管理的核心地位,对经理层的监督与激励问题,一直是理论研究关注的重点。作为弥补制度性监督激励机制的经理层伦理,在完善公司管理和治理上具有不可替代的作用。因此,本文在阐述经理层伦理构成维度的基础上,分别分析了经理层伦理的管理效应与治理效应,旨在准确把握经理层伦理的内涵,探寻经理层伦理在完善公司管理和治理中的作用机制。
Managers are the core of operation and management in modern enterprises, Monltoring ana incentive problems about the managers have been one of the key issues concerned by the theoretical institutes. As an offset to the defect of institutional monitoring and incentive mechanism on managers, managers ethics plays an irreplaceable role in perfecting corporate management and governance. Therefore, this paper made synthetic analysis on management effect and governance effect of managers ethics based on setting forth the concept and Composition of managers ethics. The author aimed to accurately grasp the Connotation of managers ethics, and explore the interaction mechanism of managers ethics on perfecting the corporate management and governance.
