On Manager's Business Decision-Making Power In Stock Companies

现代股份公司,经理享有大量经营决策权成为一种趋势。然而,我国立法仍将大量的经营决策权赋予股东大会,这不完全符合股份公司经营决策权配置的现状和发展趋势。本文在分析了国内外股份公司经营决策权向经理倾斜的现实基础上,比较了两大法系的相关制度,对我国股份公司经理的经营决策权的规定进行了检讨和完善。

In modem stock companies, there is a trend that managers have a lot of business decision - power. However, general meeting of shareholders is entitled to have a lot of business decision - making making rights under the law, and it＇ s not entirely in line with the current situation and the trend. By analyzing the current situation and comparing the rules of the two Systems, this paper gives some advice on how to perfect the rules of manager＇ s busi- ness decision -making power.
