跨国并购对我国的影响及相关对策研究

China′s Cross-border M & A and Related Countermeasures

20世纪90年代以来,跨国公司为了迅速占领我国市场,实现其全球战略,不断加快在华的并购进程。同时,随着我国资本市场的日益完善、国有企业重组、产业结构调整和解决日益严重的就业问题等,我国也进一步加大了跨国并购的发展力度。换言之,我国正迎来一个跨国并购高速增长的时期,这对我国产业安全甚至经济安全产生了现实和潜在的影响。文章从跨国公司在华并购的现状出发,分析了跨国并购对我国产业安全带来的影响,进而从政府的角度提出了应对策略和建议。

Since the 1990s, in order to occupy Chinese market quickly and achieve globalization, multinational corporations have quickened the pace of cross-border mergers and acquisitions. At the same time, with the opening of China capital markets, restructuring of state-owned enterprises, industrial restructuring and the resolution of our country＇s growing unemployment problem, China has intensified its efforts to the development of cross-border M＆A. In other words, China will in a period of high-speed growth of cross-border M＆A, which has real and potential impact on the safety of China＇s industry and the security of Chinese economy. In this paper, from the current situations of mergers and acquisitions by multinational corporations in China, China＇s industry security which caused by cross-border M ＆ A is analyzed, and from the govemment＇s point of view, this article puts forward measures and suggestions.
