随着全球金融危机的爆发,我国企业兼并浪潮也拉开序幕,股权收购已成为企业并购的重要方式之一。为了减少和避免并购风险,股权收购方越来越重视法律尽职调查。然而目前的法律尽职调查存有较多问题,难以达到收购方的预期目的,亟待完善。本文首先简要的介绍法律尽职调查的要领和种类,然后研究其在股权收购中的重要性及存在的问题,最后提出相关的建议。

With the outbreak of the global financial crisis, Enterprise in China has been in the wave of mergers. Share ownership acquisition has become an important way for mergers and acquisitions. In order to minimize and avoid the risk of mergers and acquisitions, The buyer began to focus on the legal due diligence. However, there is still a biger problem which is difficult to achieve the intended purpose of the buyer. Therefore, it is improvement to perfect the legal due diligence in share ownership acquisition.
