本文从发展历史和运作特点两方面入手,分析国外风险投资基金典型的组织形式,着重比较不同组织形式的约束激励机制和成本控制机制,得出有限合伙制是最佳的约束激励和成本控制机制这一结论。针对中国风险投资业的现状及其存在的问题,认为中国风险投资基金的组织形式可采用风险投资基金管理公司,以及与国外资本合作组建风险投资基金。

The paper analyzes the typical organization form of limited partnership, corporation and trust fund from two aspects of developing history and operational features, and puts the emphasis on encouragement and restriction mechanism as well as cost controlling system. The conclusion is that limited partnership is the best one. Finally, it describes the current situation and problems of Chincse venturc investment, and puts forward the suggestion that both Venturc Capital Fund Corporation and .joint ventured capital fund are suitable to China.
