超市通道费纠纷案件:事实认定和法律适用若干问题研究——三论“零供”关系法律调整

A Study on the Issues of Facts Determination and Law Application Relating to Slotting Allowances and Fees—Re-discussion on the Legal Regulation of the"Retailer-supplier"Relationship

《零售商供应商公平交易管理办法》颁布以来,超市通道费纠纷案件数量增多。审理的焦点是超市公司所主张的抵扣费用是否合法、金额是否合理。在司法实践中有些问题看法不尽一致。本文通过诉讼案件实证分析,对超市通道费纠纷案件审理中如何认定滚动结算与诉讼时效、抵销的效力及异议期限、超市通道费是否违反法律强制性规范等事实认定和法律适用问题作了一些探讨。

Since the promulgation of the ＂Administration on Fair Dealing Between Retailers and Suppliers＂, cases concerning the slotting allowances and fees have kept rising in number. During the hearing the focus is on the legality of deductions alleged by the supermarket and reasonableness of the amount of money. In fact there exist different opinions and thoughts in legal practice. Based on an empirical analysis of the cases, the paper analyzes the cognizance for settlement ways and time limitation, and the validity of contra account and objection period. It also discusses whether the slotting allowances and fees violate the compulsory legislations as well as relevant issues concerning facts determination and law application.
