论公司司法清算公共政策目标的确立

On the Establishment of the Objectives of Public Policy about Company's Judicial Liquidation

公司司法清算的公共政策目标的确立必须考虑政策的价值取向。司法清算应当采"公平优先,兼顾效率"的取向,这是由公司清算的目的、司法权力介入的主要目的和我国传统的价值观所决定的。由于我国正处于转型期,矛盾容易积聚和爆发;经济不发达,社会财富有限;长期以来又缺乏真正的清算制度,公司司法清算的公共政策目标一旦确立,法院的地位与作用将更加重要。基于此,该公共政策的目标应当按顺序确定为防止社会出现动荡、维持社会公平的底线和最大限度地实现对财富的利用三个方面。

The judicial liquidation of the company＇s public policy objectives must take into account the establishment of the policy values.The judicial liquidation should adopt a ＂fair priority,taking into account efficiency＂ approach,which is the purpose of liquidation by the company,the main purpose of the judicial power to intervene,and our traditional values of the decision.Because China is in transition,easily accumulate and the outbreak of conflict;economic underdevelopment,social wealth is limited;tong-standing lack of a genuine settlement system,the judicial liquidation of the company＇s public policy objectives,once established,the Court＇s position and role will be more important.Based on this,the public policy objective should be identified in order to prevent social turbulence to maintain the bottom line of social equity,and maximize the use of three aspects of wealth.
