Research and Revelation of French Agency by Estoppel System

近年出台的《关于适用合同法若干问题的解释(二)征求意见稿》第19条对我国《合同法》第49条进行了限制性解释,有关表见代理立法问题被再次提出。法国是大陆法系最早建立和完善表见代理制度的国家,对其表见代理理论发展轨迹和制度完善等方面的研究,有助于我国相关立法的进一步完善。

Article 19 of Relevant Explanation Draft on Contract Law Application issued in recent years has restrictively commented on Article 49 of Contract Law of the People＇s Republic of China. Thus the agency by estoppels is proposed again. French law, as the earliest one in the Continental Law System to introduce and modify the agency by estoppels, needs to be carefully studied in its theoretic development, and system formation, which will help China to improve the relevant legislatures.
