为扩大生产规模、获得先进技术和资源、增强市场竞争力,跨国并购已成为中国企业进行国际化经营的重要方式。但实施跨国并购涉及的问题多而复杂,充满了各种各样的风险。如果对跨国并购的风险分析不透、防范不当,不但严重影响企业对外投资战略的成功实施,还有可能对企业原本根基造成较大威胁。因此,有必要对中国企业跨国并购中各个环节的风险进行充分分析,并提出相应的风险防范对策。

For Chinese enterprises,transnational MA has become an important way to expand the production scale,acquire the advanced technology and resources,improve the market competitiveness on their international operation.But the transnational MA is complicated and risky,if not fully understand and prepared,it will not only have negative impact on enterprises＇ overseas investment strategy,but also threaten the enterprises＇ foundation.So it is necessary to analyze all the risks that may arise in each step of transnational MA and propose relevant prevention tactics.
