National Security Review in Chinese Enterprises' Cross-Border M&A:Empirical Study Based on CFIUS Annual Report

金融危机的爆发使一些处于技术前沿或领先地位的国外企业陷入困境,为中国企业走出国门进行跨国并购提供了契机。以美国为例,研究其针对外资并购的国家安全审查,重点分析国家安全审查的程序及范围,结合外国投资委员会最新年报阐明近年来外国企业并购美国企业的趋势,并对中国企业并购美国企业提出相关建议。

The explosion of financial crisis provided Chinese enterprises with the opportunities to M＆A the leading foreign enterprises in certain industries or fields that landed in a predicament. In this paper, we take America as an example and study the national security review directed towards M＆As by Foreign Capital, and then emphasize the procedures and scope of national security review. With the latest annual report CFIUS submitted to Congress, we analyze and clarify the M＆As trends of American enterprises by foreign enterprises, and put forwards some suggestions to Chinese enterprises M＆A with American enterprises.
