摘要
股权融资是中国房地产业未来主要的融资模式。国际经验和研究表明,房地产有限合伙制要比公司制更有效地降低委托代理成本,防止道德风险,实现资金和专有性资产的有效结合。在当前形势下,房地产业的稳健发展对中国经济全面复苏具有非常重要的作用,因此需要中国房地产企业股权融资模式的创新。在房地产企业信贷融资面临越来越多限制的环境下,由于新《合伙企业法》的颁布实施以及中国社会存在巨大的资本投资需求,中国房地产企业采取有限合伙制进行股权融资具有一定的现实可行性。
In the future, equity financing is the major financing pattern of real estate in China. Based on the international experiences and studies, the real estate limited partnership can more effectively lower the agent cost, prevent the moral hazard, and realize the combination of funds and special assets than the real estate corporation. In the new circumstance, Chinese real estate enterprises need the equity financing model innovation because it is very important for the full recovery of the Chinese economy. With the strict financing environment, the implementation of the new law of partnership and the huge investment demand in China, the real estate enterprises should realize the equity financing by the limited partnership.
