近代联号企业非企业集团的组织制度安排及原因 被引量:2

Non-enterprise Groups and Reasons for the Institutional Arrangements of Modern Associated Enterprises

摘要 学者对近代联号企业的研究习惯上以企业集团相称,事实上,以经济理论的观点看,近代联号企业在组织制度安排上是非企业集团的,与近代企业集团典型的组织形态有着实质的区别:联号企业的总公司并非企业集团意义上的控股公司,不具备控股公司的职能,联号企业成员间关系是以血缘关系作为其他联结关系的框架和前提。联号企业的组织制度安排有其历史必然性,尤其是其特征中以血缘纽带作为主要联结关系在近代社会有其适用性,是成本收益比较后的理性选择。 Scholars often refer to the modem associated enterprises as the enterprise groups in their research. This article holds that the modem associated enterprises were not enterprise groups from the view point of the economic theory in that the organization forms of the former were different from that of the latter. Also the corporate head office was not the same as the enterprise group's holding company, having no function of the holding company. Further, the blood tie relationship between enterprises members was the most important in the associated enterprises. The institutional arrangement of the associated enterprises has its historical origin, and its blood tie as the association link was suited to the modem society and was a rational choice in consideration of the cost and profit.
