非上市股份制企业股票不易流动问题研究

由于法律规定的漏洞,中国30多万股份制企业股票不能合法流动,这种局面对于企业的不利影响表现为:股东行为不合理,企业行为不合理,企业治理不规范,现代企业制度的优越性没能发挥;对社会经济的不利影响为:不利于地方经济发展,不利于国有资本市场化经营,不利于和谐社会建设,也不利于市场体系的建设;因此,让这些企业股票合法流动是当务之急。

Because of imperfection of law regulatio n,stock of more than 300,000 companies can not be put into circulation. This situation is very harmful for firms,such as unreasonable stockholder＇s behavior and enterprises＇ behavior,imperfect governance,imper-fect modern enterprise system and so on. At the same time,it is not helpful for economy and society that un-circulation of stock is very harmful for economic development and market-oriented operation of state-owned capital,and un-useful for harmony of society. So it is very urgent for us to promote the circulation of stocks of unlisted company.
