摘要
从创建商誉的过程看,商誉具有整体性、依附性、专属性以及流变性等四方面的特性。与商誉的这四方面特性相适应,商誉与商标之间所呈现的是一种彼此独立但又交互影响的关系。尽管在某些情形下,商誉对于商标价值的形成、利用和保护发挥着举足轻重的作用,但其并非是决定商标权确立和保护的根本基础。而在商标权的转让方面,虽然商誉无需与商标权一并发生移转,但其仍对商标权的转让起着或直接或间接的影响作用。
Looking from the process of goodwill establishment, we can find that goodwill possesses the characteristics of integrity, attachment, specificity and rheology. Accordingly, the relationship between goodwill and trademark tends to be independent from each other while have reciprocal influence. Although in some cases goodwill plays an important role in the value formation, application and protection of trademark, it can not serve as the base of trademark right establishment and protection. In the aspect of trademark right transfer, some direct or indirect impact although it is not necessarily transferred together with trademark
