摘要
竞业限制合同内含两个相互冲突的问题:一是保护企业商业秘密财产权,以助其实现效率最大化;二是保障劳动者生存权,以追求分配上的正义。法律必须对竞业限制合同进行必要的规制。《劳动合同法》规定竞业限制条款有其可取之处,但也存在一些有待完善的地方。
There are two contradictive issues in non-competition agreement: one is the protection of commercial secret right of enterprises so as to realize the maximum efficiency, the other is the protection of living right of labors so as to pursue the fairness of distribution. Therefore, it is necessary for the law to stipulate the non-competition agreement. It is desirable for Labor Contract Law to provide some provisos, however, it is still to be perfected.
