关于我国独立董事制度的几点思考

独立董事制度的有效运作和发挥作用是建立在上市公司股权结构得以解决的基础上,而不是执行了独立董事制度,就能解决上市公司的一切问题。独立董事制度只是在若干特定交易中起到了某种程度上的作用,因此,只有在恰当地解决我国上市公司股权结构这一根本问题的同时,不断完善独立董事制度,才可能使其真正发挥应有的作用。

That the independent director system can operate effectively and play its role is on the basis of the resolution of the ownership structure of listed companies rather than execution of the independent director.The independent director plays its role only in some specific transactions.We should resolve the problem of the ownership of listed companies and improve the independent director system.Only in this way can it play its integral role.
